(a)

Upon activation, we will allow you to purchase the products from us and grant you trade credit for theinvoice amount for the orders you place/ products you purchase from us. In simple terms, you will berequired to pay for the products purchased by you on or before the due date mentioned on the invoiceissued to you or communicated to you by other modes which we may deem fit.

(b)

We will allow you to purchase products on trade credit for upto a maximum limit ("Maximum Limit"). The Maximum Limit will be displayed on the Platform or otherwise communicated to you by us.

(c)

For avoidance of any doubts, it is clarified that your acceptance to these Terms does not obligate us to grant trade credit to you and such grant of trade credit for any of the orders placed by you shall be in our sole and absolute discretion. You agree and confirm that we shall not be liable in any manner whatsoever in case we deny giving trade credit to you for any of your orders placed with us.

(d)

You shall be required to pay to us on or before the due date of payment as mentioned on the invoice usingany of the mode of payment that are acceptable to us. In the event of any failure on your part to pay on orbefore the due date of payment of the invoice, we in our absolute discretion, reserve the right to charge latepayment charges as mentioned on the invoice or communicated to you using modes of communication aswe may deem fit.

(e)

It shall be your responsibility to pay us the invoice amount for the relevant order / products delivered to youon or before the due date and check the due date for the invoices for each of the orders,from time to time.We will not send you any reminders or intimation informing you or reminding you of the payments to bemade on or before the due date.

(f)

In case of any return of products that are delivered to you, if such return request is accepted by us for thecomplete order,the invoice issued to you with respect to the said order/ products will stand cancelled.Incase of acceptance of partial return of products by us,the invoice value payable by you will stand adjustedand be equivalent to the value of products that have been delivered to you.

(g)

You shall be bound to the provisions of these Terms until the time you pay the total amount due (includingwithout limitation late payment charges or other charges that may become payable by you) for all theorders / products for which you have chosen ‘Paylater by Grantrail’ as the mode of payment.

(h)

If in case you fail to make the payment on or before the due date of the invoice for the order(s) placed byyou pursuant to these terms,we reserve the right to suspend,with or without notice to you,the grant ofcredit period to your subsequent order(s) in our sole discretion.Upon such suspension,amount payable byyou for all your orders(wherein credit period has been granted) shall become payable immediately,irrespective of any due date that may have been communicated by us previously.

(i)

We further reserve the right to take appropriate legal action against you to recover the outstanding invoiceamount that remains due and payable by you beyond the due dates.

(j)

Notwithstanding the provisions of these terms, we may at any time, with or without notice to you, reserve our right to withdraw,terminate,and / or suspend the grant of trade credit to you.We may further terminate or revoke the grant of trade credit to you if in our reasonable opinion you are in breach of the provisions as set forth under these terms.In the event of such withdrawal,termination,revocation or suspension underthis clause,the amount payable by you for all the orders placed by you(for which we have granted tradecredit) shall become due and payable immediately and you shall be liable to pay the entire amountforthwith by such mode of payment as may be acceptable to us.
